1. Introduction

Welcome to Sora AI, an Artificial Intelligence-powered Tax Compliance Assistant developed and operated by RG Partners, a licensed provider of audit, tax, and financial advisory services in Rwanda. These Terms and Conditions ("Terms") govern your access to and use of Sora AI, including its website, chatbot, tax calculators, and related services (collectively referred to as the "Platform"). By accessing, browsing, registering, or using any part of Sora AI, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform.

2. Definitions

For the purposes of these Terms:

Platform or Sora AI means the Sora Artificial Intelligence Tax Assistant, including its website, mobile interfaces, software, databases, and all related content or services provided by RG Partners.
User or You refers to any individual, organization, or entity accessing or using Sora AI.
RG Partners, We, Us, or Our means RG Partners, the owner and operator of Sora AI.
Content means all text, data, software, images, videos, or other materials available through the Platform.
Subscription Plans refers to the Free, Professional, Enterprise, and Premium plans, as detailed on the website.
Personal Data refers to any information relating to an identified or identifiable individual, as defined under Rwanda's Data Protection and Privacy Law No. 058/2021 and applicable international standards.

3. Acceptance of Terms

By clicking "Accept" or continuing to use the Platform, you confirm that you are at least 18 years old (or otherwise legally capable of entering into a binding contract), you agree to comply with these Terms, the Privacy Policy, and all applicable laws and regulations, and, if you are using Sora AI on behalf of a company or organization, you represent that you are duly authorized to bind that entity to these Terms.

4. Description of Services

Sora AI provides intelligent, automated, and professional assistance in understanding, calculating, and managing tax compliance requirements in Rwanda. Core components include:

AI Chatbot – Offers multilingual conversational assistance on tax laws, regulations, and procedures, referencing verified Rwanda Revenue Authority (RRA) and legal sources.
Tax Updates & Calendar – Provides ongoing tax news, deadline reminders, and compliance guidance.
Quick Tax Calculators – Computes tax obligations based on formulas and legal frameworks officially recognized by the RRA.
Professional Advisory Integration – For Enterprise and Premium plans, allocation of a licensed tax advisor for personalized support and periodic compliance reviews.

While Sora AI strives for accuracy and reliability, it is intended for informational and educational purposes only and should not be regarded as a substitute for formal professional tax advice.

5. User Responsibilities

All users agree to:

Lawful Use: Use Sora AI only for lawful purposes and in compliance with all applicable tax and data protection laws.
Accuracy of Information: Ensure that all information input into the Platform is accurate, complete, and lawful.
Verification of Results: Acknowledge that computations and responses generated by Sora AI are based on current laws and may change as legislation evolves, and verify all outputs before acting upon them.
Prohibited Activities: Refrain from reverse-engineering, copying, modifying, or redistributing Sora AI's code or content; using automated tools to extract data; uploading malicious software; misleading or impersonating others; or circumventing security mechanisms.
Account Security: Maintain the confidentiality of account credentials. RG Partners is not liable for unauthorized access resulting from user negligence.

6. Data Privacy and Protection

RG Partners is committed to protecting personal data in accordance with Rwanda's Data Protection and Privacy Law No. 058/2021 and internationally recognized standards, including GDPR principles. We collect and process personal data (such as name, email, language preference, and chat logs) solely for providing and improving the service, secure communications with SSL/TLS, and store data on protected infrastructure. Records are retained only as long as necessary, can be deleted on request, are never sold, and any cross-border transfers comply with equivalent protection standards. Refer to the Privacy Policy for complete details.

7. Service Availability and Accuracy

RG Partners guarantees 99% uptime across core services under normal conditions and ensures that information and computations provided are 99% accurate, derived from official sources. Users acknowledge that errors or delays may still occur and agree that RG Partners is not liable for losses or penalties arising from reliance on Sora AI outputs. Users remain responsible for verifying all information before acting.

8. Subscriptions and Payments

Sora AI offers Free, Professional, Enterprise, and Premium subscription plans. Paid plans are billed monthly in Rwandan Francs (RWF) via approved payment channels (Mobile Money, bank transfer, or card payment). Subscriptions renew automatically unless cancelled at least five (5) days before the next billing cycle. No refunds are provided for partially used periods. RG Partners may adjust pricing or introduce new plans with reasonable notice.

9. Intellectual Property

All intellectual property rights in Sora AI—including software, algorithms, content, logos, trademarks, designs, and documentation—are the exclusive property of RG Partners. Users receive a limited, non-transferable, revocable license to use Sora AI for personal or organizational compliance purposes and may not copy, modify, distribute, or reproduce any part of the Platform without prior written consent.

10. Third-Party Content and Links

Sora AI may reference or link to third-party websites such as the RRA and other regulatory platforms. These links are provided for convenience. RG Partners does not control or endorse third-party content and is not responsible for accuracy or privacy practices. Users access external sites at their own risk.

11. Disclaimers

No Legal or Tax Advice: Information and outputs are for informational purposes only and do not constitute legal, tax, or financial advice.
Use at Your Own Risk: RG Partners disclaims liability for actions taken based on Sora AI outputs.
Service Changes: RG Partners may update, modify, or discontinue any aspect of Sora AI at any time without prior notice.
No Warranty: Except for the uptime and accuracy guarantees mentioned above, Sora AI is provided “as is” and “as available.”

12. Limitation of Liability

To the fullest extent permitted by law, RG Partners, its directors, employees, and affiliates shall not be liable for direct, indirect, incidental, consequential, or special damages arising from use or inability to use Sora AI; errors or omissions; unauthorized access or alteration of data; interruptions or termination of service; or reliance on AI-generated information. If liability is established, it is limited to the total subscription fees paid by the user in the preceding three (3) months.

13. Suspension and Termination

RG Partners may suspend or terminate any account that violates these Terms or applicable laws, misuses the Platform, compromises security, or engages in fraudulent, abusive, or harmful activities. Upon termination, all rights granted under these Terms immediately cease.

14. Updates and Amendments

These Terms may be amended to reflect changes in technology, legal frameworks, or business practices. Major updates will be communicated via email or website notices. Continued use of Sora AI after updates constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Rwanda. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Kigali, Rwanda.

By creating an account or continuing to use Sora AI, you acknowledge that you have read, understood, and agreed to these Terms and consent to the processing of personal data as described in the accompanying Privacy Policy.
